WRK Technologies, Inc. agrees to provide Internet access to the You (the User) under the terms and conditions set forth below.

1. Definitions
   1. We, Us and Our refers to WRK Technologies, Inc.
   2. You and Your refers to the party signing this contract and anyone acting on their behalf or under their authority.
   3. System - The combination of all equipment, services and software used to provide Internet services to our customers, and all the hardware, software and services used to administer and maintain these services.
   4. Un-metered Usage Account - An account used on one standalone PC or by one individual that is subject to the following restrictions;
      1. Idle Timeout – If you are connected to wrkcs.net but not actively using your connection for 20 minutes the connection will be severed. You may not subvert, or attempt to subvert, this idle timeout via any means.
      2. Single Call Connection Duration – After 18 hours of continuous connection your connection to our system will be severed, however you may immediately redial.
2. Price and Payment
   1. Payment is due in advance for each term of service (month, quarter, etc). Certain services are billed at the end of each month such as charges for web page bandwidth above the amount included with your account, as well as metered usage, such as toll free national dialup connect time. Any applicable taxes will be added to your bill.
   2. We may, from time to time, change our prices. We will provide you with 30 days advance notice of the planned change. If you continue to use the system beyond the latter of; your then current, paid contract term or 30 days from the rate increase notice date it will constitute your acceptance of the new price(s). In the event that you wish to terminate your service you must contact us before the new rate will go into effect.
   3. You agree to pay all charges as they become due, in the event that such charges are not paid your account will be suspended or terminated. You agree to pay any and all reasonable collection fees and expenses that may be necessary to collect sums due to us, including, but not limited to, attorney's fees and court costs.
   4. If your payment is not received within 10 days of the due date your account will be suspended and your account will be assessed a $3.00 administrative fee. Charges will continue to accrue while your account is suspended as your email account and personal website remain active, though you will not be able to retrieve your messages until your account is reactivated.
   5. If your payment is not received within 30 days of the due date your account will be cancelled and you will be required to pay a $20.00 signup/reconnection fee to restore your service. When your account is cancelled all email residing on our servers and your personal webspace will be deleted and your account may be turned over for collection.
   6. In addition, it is your responsibility to choose a phone number, that is not a long distance call, for you to access our service. In the event that you do make long distance call(s) to our system, any long distance charges are your responsibility alone.
3. Internet Access
   1. We have no control over the content of the various computers or servers on the Internet (WWW, News, Email, etc). We make no guarantees as to the accuracy, decency or legality of the information you access through our service, nor do we make any warranty as to the reliability of the Internet as a whole, or to the reliability of your connection to the Internet.
4. User Responsibilities
   1. You are responsible for maintaining your own equipment and software as well as the compatibility of your equipment and software to our equipment and software. You are also responsible for adhering to our terms and conditions of use, some of which are listed below;
      1. You are not permitted to use our system for anything that is, or might be, illegal. You are not permitted to use your account or this system to encourage anything related to illegal drugs, child pornography, robbery, spreading computer viruses or other malicious software, copyright infringement, cracking into computer systems that are not yours, software piracy, credit card fraud (theft, distribution, or use of credit cards or numbers) or any other crimes.
      2. You are responsible for all use of your account. Be sure to keep your password private.
      3. We exercise final editorial control over the content of our servers including Web pages and File transfer areas. If, in our opinion, or by law, the content is considered to be illegal or indecent or infringe on another's rights we will remove it.
      4. Do not send unsolicited email, this practice is referred to as "spamming" and may result in immediate termination of your account.
      5. We reserve the right to immediately terminate your access to your account or our system if we believe that such use constitutes a violation of these conditions or other policies of WRK Technologies, Inc.
      6. You are responsible for adhering to the policies of WRK Technologies, Inc. that are in effect at the time you are using the system.
5. Ownership of Materials
   1. Copyright laws apply to electronic media just as they apply to physical media. You cannot reproduce, by any means, including, but not limited to electronic or mechanical, any data or work(s) without the owner's permission.
   2. You may not transmit, post, upload or provide to others any information or works to which you do not have ownership rights or the explicit permission of the information or work's owner to distribute.
   3. We own the rights to certain content on this system, including, but not limited to, the appearance or "look and feel" of our system, our name, service name(s), trademarks, logos and any original content that we publish on our system or elsewhere.
6. Privacy
   1. We will attempt to keep your electronic mail private, only viewable by you and those who sent it to you and anyone else that you or they may choose to send or forward it to, however electronic mail is not considered to be secure. Though rare, electronic mail may be intercepted without the sender's or recipient's knowledge for legal and/or illegal purposes.
   2. We, as system administrators, may need to view your electronic correspondence if we believe that it is necessary to protect ourselves or other users from injury, damage or liability.
   3. If we have reason to believe that certain electronic correspondence is connected with illegal activities we may disclose it to the authorities to protect our system, ourselves or others.
   4. We will comply with the order(s) of any courts or agencies of legal jurisdiction to provide them any and all information, logs and/or data pertaining to, or posted by, any user or users as is specified on such court order.
7. Limits of Liability and Indemnity - You agree that we are not responsible for any indirect, consequential, special or punitive damages or losses you may incur in connection with our system or any of the data or any other materials transmitted through our system, or residing on our servers, even if we have been advised of the to possibility of such damages or loss. In addition, you agree to defend and indemnify us and hold us harmless from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses (including, but not limited to attorney's fees and court costs) relating to any acts by you, or someone acting on your behalf, or materials or information transmitted by you in connection with our system leading partially or wholly to claims against us, our staff or our system by other users or third parties.
8. Changes and Amendments - In addition this agreement additional terms and conditions may be found on our web site (www.wrkcs.net), and from time to time we may change or amend our terms of use and/or other conditions or policies, these updates may also be found on our website. It is your responsibility to keep up to date with our policies and terms of use. In the event that you do not agree with such terms and policies you may cancel your account by contacting our customer service department. By continued use of our system you agree to be bound by the then current terms, conditions and policies as posted on our web site.
9. Entire Agreement - This agreement is the entire understanding between User and WRK Technologies, Inc. for the provision of Internet services. In the event that any provision of this agreement is found to be unenforceable by a court or agency of competent jurisdiction, then the remaining provisions shall continue with full force and effect.
10. Governing Law - This agreement shall be governed and interpreted under the laws of the Commonwealth of Pennsylvania. In the event of legal process the venue shall be either Clearfield or Jefferson County, at our discretion.
